The full terms
The commercial relationship, in detail
Each section below covers one area of our commercial relationship with you. Read carefully and reach out if anything is unclear.
01
Provider and acceptance
These Terms and Conditions govern use of ehubcore.com and the agency services expressly purchased from E-Hub Core ("E-Hub," "we," "us," or "our"). "You" means the individual using the website or the customer identified in an accepted order, as applicable. An individual accepting for an organization represents that they have authority to bind it. Purchasing customers must be at least 18 years old and legally able to contract.
You accept these Terms when you affirmatively agree through a clearly identified checkbox, electronic signature, or other documented acceptance process referencing this version. Merely visiting the website, submitting an inquiry, or speaking with an AI assistant does not purchase services, authorize recurring charges, or enroll you in marketing communications. We permit lawful personal and business use of the public website; its content remains subject to applicable intellectual property law.
The Privacy Policy at ehubcore.com/privacy-policy explains our personal information practices. These Terms address the commercial relationship and use of our services. Acceptance of these Terms does not replace any separate consent required for marketing, tracking, call recording, or other regulated processing.
02
Orders and other agreements
An "Order" is an accepted order form, statement of work ("SOW"), proposal, or checkout record specifying the service, customer, fees, duration, and applicable scope. A master services agreement ("MSA") may establish additional negotiated terms. An Order becomes binding through the acceptance procedure shown in it. Payment and activation requirements must be disclosed before purchase.
If documents conflict, an executed amendment expressly addressing the conflict controls, followed by an executed MSA, then the applicable accepted Order or SOW, and then the version of these Terms incorporated at acceptance. An Order overrides an MSA only where the MSA permits it or both parties expressly agree to the override. A signed data processing agreement ("DPA"), business associate agreement ("BAA"), or nondisclosure agreement ("NDA") controls its specific subject matter over conflicting general language. Applicable law and nonwaivable rights always control.
Separately accepted E-Hub Cloud or third-party product terms govern the relevant software product, subject to any express negotiated allocation. These Terms do not independently purchase a software subscription or replace its product terms. Internal E-Hub manuals, forecasts, roadmaps, and unaccepted proposals are not incorporated into your contract.
Existing customers retain their accepted contractual terms and offer versions until a valid amendment or renewal process changes them. Publishing this page does not retroactively change an existing agreement. Marketing descriptions and general service menus do not add deliverables to an Order. Material representations must remain accurate; this section does not excuse misrepresentation.
03
Services and engagement models
E-Hub designs, implements, and manages digital growth infrastructure. Depending on the Order, services may include strategy, branding, design, photography, video, social media, SEO, advertising, websites, funnels, ecommerce, CRM, automation, AI implementation, analytics, training, and related support. Only the purchased scope is included. "All-in-One" describes an integrated approach and does not mean unlimited work, every capability, or every third-party charge.
Managed Growth Infrastructure provides recurring management and improvement within an agreed capacity. One-Time Digital Setup provides a defined implementation and handoff, with ongoing hosting, software, maintenance, and usage addressed separately. Commerce, add-ons, consulting, and custom engagements follow their own Orders. Plan names shared between product families do not make their scope or pricing interchangeable.
For franchise and multi-location engagements, the Order must identify the contracting customer, authorized locations, approval authority, and applicable capacity. A corporate engagement does not automatically include every franchisee or make an unnamed franchisee responsible for corporate charges.
04
Scope and customer cooperation
Your Order defines deliverables, included channels and locations, production cadence, hours or other capacity limits, revision rounds, dependencies, and exclusions. Recurring capacity is a delivery boundary, not a bank of prepaid labor. Unless the Order says otherwise, unused capacity does not accumulate, convert into refunds or credits, or transfer freely between capabilities. E-Hub remains responsible for delivering its agreed scope.
You will provide accurate information, authorized system access, usable materials, timely approvals, and a designated contact. You are responsible for rights in supplied content, required licenses and releases, the accuracy of business claims, and approvals within your regulated industry. E-Hub remains responsible for its own work and applicable legal obligations.
New objectives, quantities, channels, locations, functionality, integrations, or creative direction may require a written change order. We will disclose additional fees and schedule effects before proceeding. An operational request does not authorize an undisclosed charge or create unlimited scope. Changes become binding only through authorized, documented approval.
05
Scheduling, review and stabilization
Schedules depend on the agreed scope and timely access, materials, approvals, and third-party cooperation. An estimated date is not a guaranteed deadline unless the Order expressly makes it one. We will communicate material delays and revise the schedule reasonably. A customer delay does not automatically waive fees for capacity reserved under the Order, but any new delay fee or restart charge requires prior disclosure and acceptance.
Unless an Order specifies otherwise, please review submitted work within five business days and identify any material mismatch with the approved scope. We will provide reminders before pausing dependent work or continuing within an already approved direction. Silence alone does not authorize new spending, a material scope change, or publication requiring explicit approval, and does not waive a valid defect claim.
A correction addresses work that does not meet the approved scope. A revision adjusts work within the approved direction and included review rounds. A change adds or alters scope. Completion is measured against the Order and its acceptance criteria. Any deemed acceptance mechanism must be expressly stated in the Order.
For One-Time implementations, the standard stabilization period is 30 calendar days after documented handoff, covering implementation errors and configuration defects within the purchased scope. It does not include new features, new integrations, customer modifications, or ongoing optimization unless purchased. This period does not eliminate remedies required by law or an express contractual warranty. Initial advertising management, where included, runs from effective campaign launch for the period stated in the Order.
06
Fees, payment and additional costs
The Order controls pricing, currency, billing dates, taxes, and payment milestones. Standard One-Time projects are payable in full before activation unless an accepted Order expressly provides a different schedule. Standard Managed plans do not carry a mandatory setup fee; extraordinary migration or implementation may be separately scoped. Material price errors identified before acceptance will be corrected before you are charged.
Media budgets, SMS, voice, AI and other metered usage, third-party licenses, payment processing charges, domains, travel, shipping, talent, and production expenses are separate when identified as applicable to your Order. Their amount, rate, calculation method, or approved budget must be disclosed before authorization. Metered charges are based on actual authorized usage; they are not necessarily charged at vendor cost. We do not increase an approved spending limit without authorization.
When you expressly authorize recurring payments, you authorize the disclosed charges using the selected payment method and billing schedule. A monthly payment schedule does not by itself mean a month-to-month contract. Required renewal notices will be provided. Changes to recurring fees require advance notice and any consent required by the agreement or law; they do not silently alter a fixed commitment.
You must keep billing information current and pay undisputed amounts when due. Contact [email protected] promptly about a suspected billing error so we can investigate. This process does not restrict a lawful chargeback, statutory dispute right, or remedy. No interest, late fee, collection charge, or early termination fee applies solely because of this page; any such charge must be expressly agreed and lawful. You are responsible for applicable transaction taxes other than taxes on E-Hub's net income.
07
Duration, renewal and cancellation
Unless an accepted Order expressly states a different arrangement, Managed Growth Infrastructure has an initial six-month commitment and then continues monthly with at least 60 calendar days' written notice of cancellation. The Order must state the start date, initial end date, cancellation effective-date calculation, and any final-period proration. The notice period does not create a new six-month renewal. It does not override a shorter period or cancellation right required by applicable law.
Recurring add-ons normally have a three-month minimum unless identified as temporary or project-based. Their renewal and cancellation rules must be disclosed in the Order. One-Time work ends when the contracted work and applicable stabilization obligations are completed; it does not automatically become a Managed plan. Standalone software subscriptions and Cloud continuity follow their separately disclosed terms.
Send cancellation or nonrenewal notice to [email protected] or use the cancellation control provided for your purchase. We will record the date received and confirm the effective date and any amounts properly due. Cancellation does not require a sales call or acceptance of a replacement offer. Where applicable law requires an online cancellation method, that method will be available. A missing acknowledgment does not invalidate a demonstrably received request.
Early cancellation of a fixed commitment does not automatically cancel amounts lawfully owed under the accepted Order. Any remaining commitment, termination charge, or other financial consequence must have been clearly disclosed and accepted, remains subject to applicable law, and may not be imposed retroactively. These Terms do not accelerate all future installments or establish a new cancellation penalty.
The cancellation request should identify which services you want to end. If the request covers all E-Hub services, we will process it accordingly. If a separate software subscription is supplied by another contracting provider, we will identify that provider and its cancellation route. We will not silently convert a cancelled Managed engagement into a new paid Cloud subscription. Any continuing subscription and its charges require an existing valid authorization or new acceptance.
08
Suspension, termination and refunds
We may suspend affected services when reasonably necessary to address a credible security threat, unlawful use, fraud, serious abuse, or a third-party restriction. For unpaid undisputed charges, we will ordinarily give written notice and a reasonable opportunity to resolve the issue before suspension. Immediate action may be necessary for an urgent risk or legal requirement. We will limit suspension to what is reasonably needed and communicate the basis when lawful.
Either party may terminate an affected Order for the other party's material breach if the breach is not cured within 15 calendar days after written notice describing it, unless the Order provides a different period or the breach cannot reasonably be cured. Ending for a material breach does not require the ordinary convenience-cancellation notice. E-Hub may decline activation for material incompatibility, fraud, or an unlawful requirement; activation review does not authorize a forced upgrade.
Fees for services properly performed, capacity made available under the Order, and authorized noncancelable third-party commitments are generally earned. Unused capacity does not alone create a refund. If E-Hub declines activation before performing work, prepaid service fees will be returned, with any deduction limited to separately authorized, actually incurred, nonrecoverable third-party costs. If termination results from E-Hub's uncured material breach, or E-Hub permanently discontinues paid services without customer breach, prepaid amounts attributable to services not provided will be refunded. Other refunds follow the Order and applicable law. No provision creates a blanket exclusion of refunds or lawful remedies.
09
Intellectual property and deliverables
You retain your preexisting trademarks, business content, customer records, and other materials you lawfully provide ("Customer Materials"). You grant E-Hub and authorized service providers a limited right to use them as necessary to perform the engagement. This permission does not authorize unrelated sale of customer data or public use of confidential information.
E-Hub and its licensors retain their preexisting and reusable technology, frameworks, templates, methods, code libraries, prompts, workflows, training resources, and know-how, including improvements of general application ("E-Hub Materials"). Customer Materials embedded in an implementation remain yours. A configured solution may contain both parties' materials and third-party components.
The Order should identify ownership and license rights for final creative assets, custom code, editable files, raw footage, and other deliverables. An assignment of intellectual property applies only where expressly agreed in writing and after the applicable fees are paid. Otherwise, upon full payment, you receive a perpetual, nonexclusive right to use, reproduce, display, and adapt final non-platform deliverables for your business, including through vendors acting for you. You may not resell E-Hub Materials as standalone templates or tools. Third-party licenses and the platform access limits below still apply. Source files, development repositories, raw footage, and rejected concepts are included only if the Order says so.
We will obtain written permission before using your name, logo, identifiable results, or work in a public case study, testimonial, or portfolio, unless an existing agreement already grants that specific permission.
10
Platforms, custom configuration and white label services
E-Hub Cloud and other hosted tools are licensed or provided as subscription access under the applicable Order and product terms. Setup, integration, implementation, or customization fees pay for the described work. They do not transfer ownership of the underlying software, hosting environment, source code, administrative infrastructure, vendor relationships, or reusable E-Hub Materials.
A solution branded with your business name, a white label portal, a custom workflow, an AI agent, or a client-specific configuration is not a sale of a standalone software product unless a signed agreement expressly provides that transfer and identifies what is transferred. Your Customer Materials and expressly assigned deliverables remain subject to their own ownership rights.
Platform access depends on the authorized subscription and applicable payment terms. When that access ends, hosted functionality may stop. An operational handoff does not promise independent hosting, unrestricted portability, a transfer of proprietary configurations, or continued software access without a valid subscription. Any agreed export rights remain available as described below. A separately purchased software plan requires its own current terms; this agency page does not define the full E-Hub Cloud product contract.
11
Confidentiality, data and continuity
Each party will protect nonpublic information received from the other that is identified as confidential or reasonably should be understood to be confidential, use it only for the engagement, and restrict disclosure to people and service providers with a need to know and appropriate confidentiality obligations. This duty excludes information lawfully known without restriction, independently developed, lawfully received from another source, or public without a breach. Legally required disclosure is permitted with notice when lawful and appropriate safeguards. Confidentiality continues for three years after termination and, for trade secrets and protected personal information, for as long as applicable law requires protection.
The Privacy Policy and any signed DPA govern personal information processing. Where we process customer-controlled data on your instructions, you are responsible for lawful collection, required notices and permissions, and appropriate instructions. E-Hub remains responsible for its own processing obligations and agreed safeguards. Contractual allocation does not remove either party's duties under applicable law.
Do not submit protected health information, payment card details outside approved payment channels, government identifiers, or other specially regulated information into ordinary forms, chats, AI tools, or CRM fields without a specifically approved environment and any required written agreement. A healthcare client relationship alone does not establish HIPAA compliance; where required, a BAA and appropriate safeguards must be in place before processing protected health information.
We will use reasonable safeguards appropriate to the services and notify the relevant customer of confirmed incidents affecting its data as required by law and any applicable agreement. No system is completely secure. Backup frequency, retention, restore testing, recovery objectives, and disaster recovery commitments apply only where expressly documented in the Order or a service-level agreement ("SLA"). You should maintain independent copies of critical records; this does not excuse our agreed preservation or security duties.
Unless a signed agreement or law provides otherwise, you may request a basic export of Customer Materials that the platform can export in a standard format during service and within 30 calendar days after termination. We will preserve the relevant exportable data for that request window, subject to lawful deletion requests, security restrictions, and legal retention requirements. Export does not include other customers' data, proprietary platform code, or E-Hub Materials not licensed for transfer. Custom migration, transformation, or reconstruction requires a separate scope and approved fee; legally required access cannot be conditioned on an unlawful charge.
After the export window, data follows the applicable retention and deletion arrangements, Privacy Policy, and legal requirements. Backup copies may expire on a different schedule and may not be available as a customer restoration service. A retention period required by law may continue after access ends. We do not claim ownership of your business records because your subscription ends.
12
Third-party systems, advertising and results
Advertising networks, search engines, social platforms, carriers, hosting providers, payment processors, and other vendors operate under their own policies. Their approvals, algorithms, pricing, availability, and account restrictions can change. E-Hub cannot guarantee their decisions or uninterrupted interoperability. We remain responsible for our own obligations, including authorized spending and agreed configuration work; a third-party dependency is not a blanket exemption from responsibility.
Where feasible and consistent with the Order, customer-specific domains and advertising or commerce accounts should identify the customer as the account owner and E-Hub as an authorized service provider. Shared agency infrastructure and third-party tools may have different ownership and access rules, which must be disclosed. Credentials, access roles, and transfer limitations should be recorded at onboarding.
Forecasts, examples, historical results, and strategic targets are not guarantees of revenue, leads, appointments, rankings, conversion, return on ad spend, or profit. Results depend on factors including the offer, budget, competition, customer operations, follow-up, seasonality, and platform behavior. Reports may rely on third-party attribution and incomplete data; advertising platform metrics are not a substitute for verified sales records. These qualifications do not reduce expressly agreed deliverables or reporting duties.
13
Artificial intelligence and automation
AI assistants, generated content, automated workflows, and voice tools may produce inaccurate, incomplete, or inappropriate output. You and E-Hub will carry out the review and approval responsibilities specified in the Order before consequential use or launch. The customer must provide accurate approved business information, permissions, and escalation rules. E-Hub must implement and test the controls it has agreed to provide.
AI output is not legal, medical, accounting, investment, or other licensed professional advice. AI must not be used as the sole basis for a regulated or materially consequential decision without appropriate review and safeguards. These services are not emergency response systems.
An E-Hub AI assistant cannot independently approve contractual exceptions, guarantees, refunds, price changes, or expanded scope. A transaction completed through an authorized acceptance and payment flow is governed by that recorded Order. Required AI notices, voice permissions, call recording consents, and marketing permissions must be implemented for the actual use case. These Terms do not authorize voice cloning, impersonation, undisclosed recording, or unlawful automated contact.
14
Communications and messaging
We may send operational communications reasonably needed to administer your engagement. Marketing email includes a method to unsubscribe, and promotional calls or messages require the permissions applicable to their channel and purpose. Accepting these Terms or supplying a phone number is not by itself consent to promotional SMS or automated marketing calls. Withdrawing marketing consent does not cancel a service contract.
If you separately opt into the E-Hub Core SMS program, messages may concern account verification, platform access, support, and operational or security updates. Promotional messages require a separate appropriate opt-in. Frequency varies. Message and data rates may apply. Reply STOP to opt out or HELP for assistance, or contact [email protected] or (623) 745-8010. Reasonable opt-out requests through other supported channels will also be honored as required by law. A final nonpromotional confirmation may be sent. Consent to marketing is not a condition of purchase. Carriers are not responsible for delayed or undelivered messages.
Mobile information, SMS opt-in data, and consent records are not shared with third parties or affiliates for their marketing or promotional purposes. Service-provider handling necessary to deliver messages is described in the Privacy Policy. For campaigns operated for a customer, the Order must identify the sender and each party's responsibilities for notices, consent records, suppression lists, and opt-outs. The customer must not upload unlawfully acquired lists or direct prohibited outreach, and E-Hub retains its own compliance responsibilities.
15
Commerce operations
Unless an Order expressly states otherwise, you remain the seller of your products and services and are responsible for product accuracy, pricing, inventory, taxes, shipping, fulfillment, customer support, returns, and warranties to your buyers. E-Hub provides the purchased implementation or management services and does not become the merchant of record solely by configuring your store or payment connection.
Product, channel, and integration limits describe the included setup or management work. Marketplace approval, payment acceptance, transaction volume, and uninterrupted sales are not guaranteed. Your customer-facing policies must match your actual business practices and applicable law.
16
Academy, courses and communities
Access to E-Hub Academy, courses, communities, and training depends on the specific free registration, purchase, or client benefit granted. The applicable offer states the content, access period, permitted users, and any separate refund rules. Access is not lifetime, transferable, or inclusive of the entire catalog unless expressly offered on those terms.
Ending a service plan may end benefits tied to that plan, but does not by itself cancel a valid independent course purchase. Training is educational and does not guarantee qualifications, income, or business outcomes. You may not share restricted accounts, redistribute protected course content, or harass other participants.
17
Accounts and acceptable use
Keep account credentials confidential, use available security controls, maintain accurate authorized-user lists, and promptly report suspected compromise. You are responsible for people you authorize, but are not automatically liable for a compromise caused by E-Hub's failure to meet its own obligations.
Do not use our website or services for unlawful activity, infringement, malicious code, unauthorized access, abusive scraping, evasion of access controls, unsolicited prohibited messaging, impersonation, or interference with other users. Do not resell or sublicense restricted platform access without written authorization. Restrictions apply only to the extent permitted by law.
18
Service standards and warranty limits
E-Hub will perform purchased professional services with reasonable care and skill and in material accordance with the accepted scope. Report a material defect promptly with sufficient detail for investigation and correction. Any additional warranty or SLA must be expressly stated in the Order.
TO THE EXTENT PERMITTED BY LAW, EXCEPT FOR EXPRESS COMMITMENTS IN THE AGREEMENT, PUBLIC WEBSITE MATERIALS AND THIRD-PARTY OR AI OUTPUTS ARE PROVIDED AS AVAILABLE, WITHOUT IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT. We do not promise uninterrupted or error-free operation. This disclaimer does not remove our express service, confidentiality, security, or correction obligations, or any nonwaivable warranty or consumer remedy.
19
Limitations of liability
TO THE EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE TO THE OTHER FOR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS ARISING FROM THE AGREEMENT. Except for the exclusions below or a different signed allocation, each party's aggregate liability arising from an affected Order is limited to the fees paid or payable to E-Hub for that Order during the 12 months preceding the event giving rise to the claim, excluding media spend, taxes, and third-party pass-through charges. For website use unconnected to a paid Order, the aggregate limit is US $1,000.
These limitations do not apply to fraud, willful misconduct, gross negligence, intentional misuse of the other party's intellectual property, or liability that cannot lawfully be limited. They do not eliminate payment for services properly supplied or a refund expressly owed. Any separately negotiated indemnity, data-protection liability allocation, or higher cap in a signed agreement controls. The availability and scope of these limitations depend on applicable law.
20
Third-party claims
For business engagements, you will defend and indemnify E-Hub against a third-party claim to the extent caused by Customer Materials infringing that third party's rights, your unlawful instructions, or your intentional misuse of the services. This obligation does not cover a claim to the extent caused by E-Hub's own breach, negligence, misconduct, or unauthorized modification.
E-Hub must promptly notify you of the claim, allow reasonable control of the defense with qualified counsel, and provide reasonable cooperation at your expense. A settlement may not admit wrongdoing by E-Hub, impose nonmonetary obligations, or fail to provide a release without E-Hub's written consent, not unreasonably withheld. Any E-Hub intellectual property defense commitment, additional indemnity, or different defense procedure must be expressly stated in a signed agreement. This section does not impose an indemnity merely for browsing the website.
21
Events beyond reasonable control
A party is not responsible for delay caused by an event beyond its reasonable control that could not reasonably have been prevented or overcome, provided it gives prompt notice and takes reasonable steps to mitigate the effect. This may include natural disasters, government action, or a widespread infrastructure outage. Ordinary staffing shortages, avoidable security failures, and lack of funds do not automatically qualify. Amounts properly accrued remain payable. A prolonged interruption must be addressed under the Order and applicable termination or refund rights; this clause does not authorize indefinite billing for permanently discontinued services.
22
Notices and updates
Send contractual notices, cancellation requests, and billing disputes to [email protected] and any additional notice address specified in your signed agreement. For general assistance, call (623) 745-8010. We will send account-specific notices to the authorized email on file or through an agreed notice method. Formal service of legal process remains subject to applicable law.
We may publish updated Terms with a new version and effective date. An existing paid engagement continues under its accepted version unless changed through the agreement's amendment or renewal procedure and any legally required notice or consent. Website publication alone does not impose new fees, retroactive restrictions, or new dispute provisions on an existing customer. You should be able to retain the version accepted with your Order.
23
Governing law and disputes
Unless a signed agreement states otherwise, Arizona law governs these Terms, without regard to conflict-of-law rules, subject to mandatory protections that apply in another jurisdiction. Except where applicable law provides a different forum, the parties consent to the state courts in Maricopa County, Arizona, or the federal court for the District of Arizona having jurisdiction over the dispute.
Before litigation, the parties will attempt in good faith to resolve a written dispute for 30 days where practical. This does not prevent urgent court relief, timely filing to preserve a claim, a regulatory complaint, or use of an available small-claims procedure. These Terms do not create mandatory arbitration or a class-action waiver.
24
General provisions
E-Hub is an independent contractor. The agreement does not create employment, a partnership, or a fiduciary relationship. E-Hub may use qualified subcontractors while remaining responsible for its agreed services and confidentiality obligations. Neither party may assign an Order without the other's written consent, except to a successor to substantially all of the relevant business that assumes the obligations, provided the assignment does not unlawfully reduce the other party's rights.
If a provision is unenforceable, it will be limited or severed only as permitted by law, and the remaining provisions continue. Failure to enforce a provision once is not a waiver. Provisions intended to survive, including accrued payment obligations, ownership, confidentiality, applicable liability limits, and dispute terms, survive termination. The accepted contractual documents form the agreement for their subject matter, without excluding nonwaivable rights or remedies for misrepresentation.
